1. Contractual Agreement and Acceptance of Terms

By proceeding with a booking through Suda Saunas Inc.’s online platform, the individual or entity making the booking (“You,” “Your,” or “Renter”) acknowledges, accepts, and agrees to be legally bound by these Terms and Conditions (“Agreement”). This Agreement constitutes the entire understanding between You and Suda Saunas Inc. (“Suda Saunas,” “We,” “Us,” or “Our”) and supersedes all prior agreements, representations, or understandings, whether oral or written.

2. Payment Terms and Waiver Execution Requirement

A reservation will only be confirmed upon receipt of full payment and executed Waivers of Liability and Assumption of Risk from You and all participants. Payment alone does not constitute booking confirmation. Failure to submit executed waivers prior to the scheduled rental date will result in cancellation without refund.

2a. Mandatory Execution of Separate Waiver of Liability and Assumption of Risk

In addition to accepting these Terms and Conditions, You, as the individual completing the booking, are required to execute the Suda Saunas Inc. Waiver of Liability and Assumption of Risk prior to participating in any rental or activity. By signing the Waiver, You affirm that You are acting as the authorized representative for all participants associated with Your booking and that You accept full legal responsibility for ensuring that all participants are informed of, and bound by, the terms of the Waiver and this Agreement.

The Waiver includes, without limitation, an express and irrevocable release of liability for negligence, breach of contract, and any other legal claims, as well as a full assumption of risk and indemnification obligations on behalf of Yourself and all other participants covered under the booking.

Failure to execute the Waiver will result in denied service without refund. The terms of the Waiver are incorporated by reference into this Agreement.

3. No-Cancellation and Non-Refundable Sales Policy

All bookings are final. Cancellations, no-shows, late arrivals, adverse weather concerns, illness, scheduling conflicts, or personal emergencies do not entitle You to a refund, credit, or rescheduling, unless explicitly stated otherwise in this Agreement.

4. Limited Discretionary Refunds for Verified Emergencies

Refunds or credits may, at the sole and absolute discretion of Suda Saunas Inc., be granted in cases of sudden and verifiable medical emergencies. Documentary evidence must be submitted within five (5) business days following the scheduled rental date. All decisions by Suda Saunas Inc. regarding such exceptions are final and non-negotiable.

5. Health Risk Disclosure and Medical Contraindications

By making this booking, You represent and warrant that You and all participants are medically and physically capable of participating in sauna, cold plunge, and aromatherapy activities. Contraindications include, but are not limited to: pregnancy, cardiovascular disorders, hypertension, hypotension, respiratory illnesses, neurological conditions, known allergies to sauna materials, recent surgeries, or the use of medications that impair heat or cold tolerance. You bear sole responsibility for consulting with a licensed medical professional regarding individual fitness for participation.

6. Voluntary Participation and Personal Risk Acceptance

You expressly acknowledge that participation in Suda Saunas activities is strictly voluntary and undertaken at Your sole risk. It is Your sole responsibility to monitor Your physical limits and health condition before and during participation. Suda Saunas Inc. will not monitor, assess, or provide advice regarding Your physical capability to participate.

7. Full Assumption of Risk and Comprehensive Waiver of Liability (Including Negligence and Breach)

You acknowledge that participation in sauna, cold plunge, and aromatherapy activities carries inherent risks, including but not limited to physical injury, burns, illness, allergic reactions, property damage, emotional distress, or death. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU HEREBY IRREVOCABLY RELEASE, WAIVE, INDEMNIFY, AND FOREVER DISCHARGE SUDA SAUNAS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, SUCCESSORS, AND ASSIGNS FROM ANY AND ALL LIABILITY, CLAIMS, DAMAGES, COSTS, OR DEMANDS ARISING FROM OR RELATED TO PARTICIPATION, WHETHER BASED ON NEGLIGENCE, BREACH OF CONTRACT, OR ANY OTHER LEGAL THEORY.

All liability releases, risk assumptions, and indemnity obligations stated herein are supplemental to, and do not limit or replace, the legally binding obligations outlined in the separate Suda Saunas Inc. Waiver of Liability and Assumption of Risk, which is hereby incorporated by reference into this Agreement.

8. Indemnification and Defense Obligation

You agree to fully indemnify, defend, and hold harmless Suda Saunas Inc., including its officers, directors, employees, agents, contractors, and affiliates, from any and all claims, actions, losses, damages, liabilities, fines, penalties, costs, and expenses (including, without limitation, legal fees on a solicitor-client basis) arising from Your acts, omissions, participation, breach of this Agreement, or the actions of Your guests or invitees.

9. Limitation of Liability

In no event shall Suda Saunas Inc.’s total cumulative liability, whether in contract, tort (including negligence), strict liability, or otherwise, exceed the greater of: (a) the total fees actually paid by You for the specific booking; or (b) CAD $1,000. Under no circumstances shall Suda Saunas Inc. be liable for any indirect, incidental, consequential, punitive, exemplary, or special damages.

10. Compliance with Laws and Regulatory Requirements

Suda Saunas Inc. exercises commercially reasonable efforts to comply with all applicable municipal, provincial, and federal laws, by-laws, health regulations, and other legal requirements at the time-of-service delivery. However, Suda Saunas expressly disclaims any liability for unintentional, unknown, or recently changed regulatory non-compliance that could not have been reasonably anticipated or interpreted at the time of performance. It is the sole responsibility of the Renter to ensure the intended use and site-specific location of the sauna complies with all applicable local ordinances, zoning laws, and property-use restrictions.

11. Regulatory Shutdowns and Compliance Orders

If Suda Saunas Inc. is required to suspend, terminate, or alter any rental or service as a result of enforcement action, compliance order, regulatory directive, or legal mandate issued by a municipal, provincial, or federal authority, Suda Saunas Inc.’s sole and exclusive liability shall be limited to refunding the booking fee paid for the affected rental. Under no circumstances shall Suda Saunas Inc. be liable for consequential damages, lost income, inconvenience, or emotional distress arising from such compliance actions.

12. Force Majeure (Uncontrollable Events)

Suda Saunas Inc. shall not be liable for any failure to perform or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, public health emergencies, power failures, strikes, lock-ins or -outs, government orders, equipment failures, or transport disruptions. In such cases, Suda Saunas Inc. may cancel or reschedule the rental at its sole discretion without liability beyond a refund of the booking fee.

13. Adverse Weather Policy

All rentals proceed regardless of weather conditions, except when Suda Saunas Inc., at its sole discretion, determines that severe weather poses a safety risk. No refunds, rescheduling, or credits will be issued for adverse weather unless an official cancellation notice is provided by Suda Saunas Inc.

14. Modification or Rescheduling by Suda Saunas Inc.

Suda Saunas Inc. reserves the right to modify, reschedule, or cancel any booking due to operational needs, equipment failure, staffing issues, site accessibility, safety considerations, or regulatory compliance. In such cases, Suda Saunas Inc.’s liability will be limited exclusively to a refund of the booking fee paid.

15. Early Termination for Safety or Participant Conduct

Suda Saunas Inc. retains the right to immediately terminate any rental in progress due to unsafe conditions, safety risks, equipment concerns, illegal conduct, or participant behavior deemed hazardous, negligent, disrespectful, or disruptive. In the event of early termination, Suda Saunas Inc. shall not be obligated to provide a refund for any unused rental time.

16. Participant Conduct and Behavioral Expectations

You, as the Renter, are fully responsible for ensuring that You and all participants under Your booking conduct themselves safely, responsibly, and lawfully during the entire rental period, including during transport, setup, use, and return of the sauna unit. All participants must comply with all applicable federal, provincial, and municipal laws and safety regulations at all times while using the sauna unit, trailer, and any associated equipment.

Suda Saunas Inc. reserves the right to impose post-rental cleaning charges, repair costs, restoration fees, loss-of-income compensation, or pursue legal action in cases where credible evidence demonstrates that illegal activities, reckless behavior, harassment, property damage, or any other prohibited conduct occurred during the rental period and resulted in damage, contamination, or loss.

The determination of whether post-rental conduct violated this Agreement shall be at the sole and absolute discretion of Suda Saunas Inc., based on credible evidence, including but not limited to renter reports, witness statements, photographs, physical inspection findings, or third-party complaints.

This Clause operates independently of, and in addition to, any other provisions in this Agreement relating to damages, cleaning, or loss recovery.

17. No Smoking or Vaping Policy and Associated Penalties

Smoking, vaping, and the use of any tobacco products, cannabis products, e-cigarettes, or similar inhaled substances are strictly prohibited inside the sauna unit, inside the trailer, and within a five-meter radius of the sauna structure.

This prohibition includes any conduct that could result in smoke residue, odor contamination, soot buildup, or staining of interior sauna materials. This policy does not apply to external heat sources used for the normal operation of the sauna stove or to third-party outdoor heating devices not owned or controlled by Suda Saunas Inc.

Any violation of this policy will result in an automatic cleaning and odor-remediation fee of CAD $2,000.

If smoking, vaping, or related activities cause damages that render the sauna unit unavailable for future rentals, You agree to compensate Suda Saunas Inc. for lost rental income at the full nightly rental rate for each day the unit remains out of service, up to a maximum of twenty (20) weeks, in addition to material and labor costs required for restoration.

18. Age Restrictions and Supervision of Minors

Suda Saunas Inc. welcomes participants of all ages to enjoy the sauna experience. However, any individual under the age of 18 (“Minor”) may only participate in sauna, cold plunge, or aromatherapy activities under the direct and continuous supervision of a responsible adult who is at least 18 years of age.

The supervising adult accepts full legal responsibility for the Minor’s conduct, safety, and compliance with all applicable Terms and Conditions and agrees to ensure that the Minor does not engage in any unsafe behavior during the rental period.

19. Photography, Video Recording, and Promotional Use Consent

By booking and participating, You irrevocably grant Suda Saunas Inc. the right to photograph, videotape, and otherwise record You, Your guests, Your rental location, and Your property setup for marketing, promotional, or commercial use without compensation or further approval. You waive all rights to inspect, approve, or restrict such use.

20. Feedback, Complaints, and Dispute Resolution

Suda Saunas Inc. welcomes customer feedback and encourages open communication regarding Your rental experience. Any concerns, complaints, or disputes arising out of or relating to this Agreement or Your rental experience should be submitted in writing to Suda Saunas Inc.

All disputes, disagreements, or claims arising under or in connection with this Agreement shall first be addressed through good-faith negotiations between the parties. If the parties are unable to reach a resolution through negotiation, both parties agree to submit the dispute to binding mediation to be conducted in British Columbia under the rules of a mutually agreed-upon mediation provider.

Neither party shall commence litigation or other formal legal proceedings without first completing the mediation process described in this clause.

21. Data Privacy, Storage, and Use Consent

By booking and participating, You consent to the collection, storage, and use of Your personal information by Suda Saunas Inc. for purposes including, but not limited to, booking management, customer communications, regulatory compliance, service delivery, insurance processing, and marketing.

Suda Saunas Inc. stores personal data securely, using commercially reasonable physical, electronic, and managerial safeguards against unauthorized access, alteration, disclosure, or destruction. Personal information will be retained only as long as necessary for operational, legal, or regulatory purposes. Suda Saunas Inc. will not sell or distribute Your personal information to third parties without Your explicit consent, except where required by law or necessary for regulatory, insurance, or claims-related processes.

22. Notification of Changes to Rental Details

Suda Saunas Inc. will provide all booking-related notifications, modifications, or schedule changes via the contact details provided by You at the time of booking. You accept full responsibility for ensuring that Your contact information is current and accurate at all times. Failure to receive notice due to outdated contact information shall not relieve You of Your obligations under this Agreement.

23. Reservation of Rights to Refuse Service

Suda Saunas Inc. reserves the absolute right to refuse service, deny access, or cancel bookings for any participant or group, at any time, for reasons including but not limited to: safety concerns, prior behavioral issues, breach of these Terms, fraudulent bookings, or concerns about potential damage to property or equipment. In such cases, Suda Saunas Inc.’s liability will be limited exclusively to refunding the booking fee, except where refusal is due to Your breach or misconduct.

24. Disclaimer of Warranties

All services and equipment provided by Suda Saunas Inc. are offered strictly on an “as-is,” “where-is,” and “as-available” basis. Suda Saunas Inc. expressly disclaims any and all warranties, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, durability, or non-infringement.

25. Recovery of Legal Fees and Costs

If Suda Saunas Inc. is the prevailing party in any legal proceeding, arbitration, or mediation arising out of or relating to this Agreement, Suda Saunas Inc. shall be entitled to recover from You all reasonable legal fees, expert witness fees, court costs, and all other expenses incurred in connection with the enforcement or defense of this Agreement, on a full indemnity (solicitor-client) basis.

26. Entire Agreement

These Terms and Conditions, together with all executed waiver documents, constitute the full, final, and exclusive agreement between You and Suda Saunas Inc. concerning Your booking and participation. No oral statements, promotional materials, or prior written communications shall modify or supersede this Agreement.

27. Non-Waiver of Rights and Remedies

In the event a dispute arises regarding this Agreement, the prevailing party shall be entitled to recover its reasonable legal fees, in addition to any other relief to which it is entitled.

28. Severability

If any provision of this Agreement is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable in whole or in part, such invalidity, illegality, or unenforceability shall not affect the validity or enforceability of any other provision of this Agreement.

The affected provision shall be modified or replaced to the minimum extent necessary to render it valid and enforceable while preserving, to the greatest extent possible, the original intent and economic effect of the provision.

29. Renter’s Financial Responsibility for Damage

You agree to be fully and personally responsible for any and all damage, loss, or destruction caused by You, Your guests, or Your invitees to Suda Saunas Inc. equipment, trailers, or associated property, whether accidental, negligent, or intentional. All related invoices are payable in full within forty-five (45) days of issuance. Suda Saunas Inc. will provide written documentation and a detailed cost breakdown for any such charges.

30. Sustainability and Environmental Responsibility Commitment

Suda Saunas Inc. is committed to environmentally sustainable business practices. This includes the use of recycled wood, repurposed materials, and resource-efficient operations wherever feasible. By booking, You acknowledge and support Suda Saunas Inc.’s sustainability initiatives.

31. Jurisdiction and Governing Law

This Agreement shall be governed exclusively by the laws of the Province of British Columbia and the applicable federal laws of Canada. You irrevocably consent to the exclusive jurisdiction of the courts located in British Columbia for the resolution of any dispute arising from or relating to this Agreement. You waive any right to object to jurisdiction or venue.

32. Amendments and Modifications

Suda Saunas Inc. reserves the absolute right to modify, amend, or update these Terms and Conditions at any time without prior notice. Any booking made after such updates constitutes Your acceptance of the revised Terms. It is Your responsibility to review the current Terms and Conditions prior to each booking.

33. Non-Transferability of Bookings

Bookings are personal to You and are non-transferable. You may not assign, transfer, resell, or otherwise convey Your booking, participation rights, or obligations under this Agreement to any third party without prior written consent from Suda Saunas Inc.

34. Security Deposit and Damage Assessment

Suda Saunas Inc. may, at its sole discretion, require a refundable security deposit prior to rental. Following the rental period, Suda Saunas Inc. reserves the right to deduct from this deposit any amounts necessary to cover cleaning, repair, replacement, damage, or other costs incurred under this Agreement. The balance, if any, will be returned after thirty (30) business days after final inspection and damage assessment.

35. Rental Duration, Pickup, Return Times, and Late Fees

All rentals commence and conclude within the specific rental window outlined in Your booking confirmation and as stated herein.

Unless otherwise agreed in writing by Suda Saunas Inc., standard rental pickup is available between 3:00 PM and 5:00 PM on the first day of rental, and return must occur between 8:00 AM and 12:00 PM (noon) on the scheduled return date.

You may contact Suda Saunas Inc. in advance to request alternative pickup or return times; however, any such changes must be confirmed by Suda Saunas Inc. in writing prior to the rental period. No verbal agreements or assumptions shall modify these times.

Failure to return the equipment within the designated timeframe (or any alternative written agreement) will result in automatic late fees equal to the standard nightly rental rate for each calendar day (or portion thereof) beyond the scheduled return time, until the unit is returned.

Additional penalties may apply if the delay causes scheduling conflicts, customer cancellations, or lost rental income for subsequent bookings.

36. Compliance with Public Health Mandates

You and all participants agree to fully comply with all applicable public health orders, mandates, and safety protocols in effect at the time of the rental, including but not limited to pandemic-related restrictions. Non-compliance may result in immediate termination of the rental without refund.

37. Third-Party Venue Liability Disclaimer

Where services are provided at locations owned or operated by third parties (including, but not limited to, wineries, lodges, resorts, private residences, or commercial properties), You acknowledge and accept that Suda Saunas Inc. has no control over and bears no responsibility for the condition, safety, maintenance, or suitability of such venues. Suda Saunas Inc. expressly disclaims all liability for injuries, damages, or incidents occurring on third-party property.

38. Service Availability and Website Disclaimer

Suda Saunas Inc. does not guarantee continuous, uninterrupted access to its website, booking platform, or customer service systems. Service interruptions due to maintenance, technical failures, or network disruptions may occur without prior notice. Suda Saunas Inc. shall not be liable for any losses resulting from service unavailability.

39. Identification and Driver’s License Requirement for Trailer Rentals

For all mobile sauna rentals requiring pickup and towing, the designated driver must present a valid government-issued driver’s license at the time of pickup. Suda Saunas Inc. reserves the right to photograph or digitally store a copy of the license for internal record-keeping and verification purposes in accordance with applicable privacy laws.

40. Insurance Coverage and Renter Liability for Excluded Losses

Suda Saunas Inc. maintains commercial insurance coverage for the sauna unit and its contents, subject at all times to the terms, conditions, limitations, and exclusions of its insurance policies. During transport, the trailer is insured under the towing vehicle’s ICBC policy in accordance with provincial regulations.

The Renter shall bear no financial responsibility for repair, replacement, or restoration of the sauna unit or its contents arising from accidental damage, loss, or theft that is covered by Suda Saunas Inc.’s insurance. However, in the event that damage, loss, or theft results from Renter negligence, willful misconduct, intentional damage, criminal acts, or any other cause expressly excluded under Suda Saunas Inc.’s insurance coverage, the Renter agrees to fully indemnify and reimburse Suda Saunas Inc. for all uninsured costs. This includes, but is not limited to, materials, professional labor, third-party service fees, and fair market replacement value. Documentation of insurance denials and cost breakdowns will be provided prior to invoicing.

40. Insurance Coverage and Renter Liability for Excluded Losses

All participants are solely and exclusively responsible for monitoring their own physical condition, health status, and tolerance levels before, during, and after participation in sauna, cold plunge, and aromatherapy activities. Suda Saunas Inc. disclaims all liability for any injuries, adverse health events, or medical complications resulting from a participant’s failure to self-monitor or seek appropriate medical advice.

42. Alcohol, Drug, and Substance Use Disclaimer and Renter Liability for Resulting Damage

The consumption, use, or presence of alcohol, drugs, or controlled substances within the sauna unit during the rental period is strictly prohibited by Suda Saunas Inc.

Suda Saunas Inc. makes no representation, assurance, or guarantee that it will monitor, prevent, or detect violations of this prohibition during Your rental period. You and all participants expressly acknowledge full responsibility for any health issues, injuries, or adverse outcomes arising from substance use prior to or during the use of Suda Saunas facilities.

If, upon post-rental inspection or through credible evidence, it is determined that alcohol, drugs, or controlled substances were used in or around the sauna unit and such use resulted in damage, contamination, or safety risks, You agree to accept full financial responsibility for all resulting costs. This includes, but is not limited to, cleaning fees, material costs, professional labor charges, third-party service fees, and lost rental income while the unit is out of service.

43. Cleaning, Sanitation, and Return Condition Standards

You agree to return the sauna unit, trailer, and all associated equipment in a clean, sanitary, and undamaged condition, free of excessive dirt, debris, residue, or foreign materials. Reasonable wear and tear is acceptable; however, excessive cleaning, sanitation, or restoration will incur additional charges.

If Suda Saunas Inc. determines that cleaning, repair, or restoration is required due to Your use, negligence, or failure to maintain proper care, You agree to pay all associated costs, including materials, labor, and third-party service fees. Lost rental income for downtime due to cleaning or repairs will also be billed. All such invoices are payable within forty-five (45) days. Documentation will be provided.

44. Permitted Use of Sauna Accessories and Materials

Suda Saunas Inc. permits and encourages the use of water for creating löyly (steam) on the sauna rocks and the practice of Aufguss (aroma-infused steam techniques). Use of Veniks, body scrubs, essential oils, and other customary sauna accessories is also permitted, provided that no damage, contamination, staining, or excessive residue results.

You are responsible for fully cleaning and removing all materials prior to return. Damage, residue, or contamination requiring additional cleaning or restoration will be billed per Clause 43.

45. Responsibility for Loss, Theft, and Equipment Security

You accept full financial responsibility for any loss, theft, disappearance, or unauthorized use of Suda Saunas Inc. equipment, trailers, or accessories occurring during Your rental period. Replacement costs will be based on supplier replacement quotes provided to Suda Saunas Inc. Payment is due within forty-five (45) days of invoicing. Documentation will be provided.

46. No Guarantees of Health Outcomes or Wellness Benefits

While sauna use, cold plunge therapy, and aromatherapy are commonly associated with potential wellness benefits such as stress reduction, improved circulation, and post-exercise recovery, Suda Saunas Inc. makes no express or implied representations, warranties, or guarantees regarding the achievement of any specific health outcomes, therapeutic effects, or physiological improvements. Participation is entirely at Your own risk and discretion.
